You agree to accept responsibility for all activities that occur under your Account or password. We reserve the right to cancel your Account for any reason at any time, in our sole discretion.

4. Commercial Transactions.

4. 1 Purchases. Products or services (including but not limited to online courses, webinars, certification programs and membership subscriptions) are offered for sale through the Website. In the event you wish to purchase any of these products or services, you will be asked by Sponsor or an authorized third party on Sponsor's behalf to supply certain PII, including without limitation, your full name, address, telephone number and credit card information. You agree to provide Sponsor or such third party with accurate, complete and current information at all times, and to comply with the terms and conditions of this Agreement. You shall be responsible for all charges incurred through your account as well as for paying any shipping and handling charges, and applicable taxes.

4.2 Payment. Your right to purchase products that are available for purchase through the Website is conditional on our receipt of payment for such products. If payment cannot be charged to your credit card or if a charge is refunded for any reason, including chargeback, we reserve the right to either suspend or terminate your account, thereby terminating this Agreement and all obligations hereunder.

5. Disclaimer of Warranties.

5.1 Visitors acknowledge and agree that their use of any product purchased through this website is at their sole risk and “as is” without any representations or warranties, expressed or implied, including but not limited to implied warranties of merchantability or fitness for any particular purpose. The Sponsor specifically advises that health and wellness information is often subject to updating and refining due to medical and other research and development. We are committed to providing the most current and complete information, however, we make no guarantees that the content on this Website or other of our Websites is up-to-date, complete, truth or non-misleading. 5.2 Sponsor makes no guaranty of continuous, uninterrupted or secure access to the website. Operation of the website may be interfered with by numerous factors outside of the control of the sponsor.

6. Indemnity.

You shall indemnify and hold harmless Sponsor from and against any and all claims, damages, liabilities, injuries, losses or expenses, including attorneys' fees and expenses of counsel and the collection thereof, that may be incurred by or asserted or awarded against Sponsor, arising out of or in connection with or by reason of, or in connection with the preparation for a defense of, any investigation, litigation or proceeding arising out of, related to or in connection with your use of our Website, your connection to our Website, your purchase of products or services from this Website, your breach of this Agreement, or your violation of any law or the rights of a third party.

7. Third Parties.

Your participation, correspondence or business dealings with any third party found on or through the Website, regarding payment and delivery of specific goods, and any other terms, conditions, representations or warranties associated with such dealings, are solely between you and such third party. You agree that Sponsor shall not be responsible or liable for any loss, damage, or other matters of any sort incurred as the result of such dealings.

Sponsor views the protection of your privacy as a very important responsibility. 9. Risk of Loss.

All products purchased from the Website are either delivered digitally via our eLearning platform or shipped pursuant to a shipment contract. The risk of loss and title for such items pass to you upon our delivery to the carrier.

10. Product Descriptions.

Sponsor attempts to be as accurate as possible. However, Sponsor does not warrant that the content of this site is accurate, complete, reliable, current, or error-free. Information may and is subject to change. If you believe a product offered through the Website does not meet the product description, your sole remedy is to contact the Whole Food Practice office at (801) 432-8869 to discuss options.

11. Returns and Refunds.

All member subscriptions and online course sales on the Website eLearning platform are final. All certification programs are final once an applicant has been approved, payment processed, and course materials have been delivered. Sales from products purchased on the Website are also final. Request for refunds of any sort will be reviewed and considered on a personal basis. Should a refund be approved, all physical materials pertaining to the original purchase must be returned, at the Buyer’s expense, and received in new condition before a refund will be issued. Digital download refunds will be issued within 5 business days of approval and product access will be immediately revoked and no longer available to you. 12. Shipping.

Digital services on the Website’s eLearning platform may be accessed via the internet and do not require any shipping. Shipping costs for certification enrollments is included in the tuition fee. All enrollment kits are sent via the US Postal Service’s Priority Mail and are shipped within 7 days of an approved application and payment. Currently we do not accept certification enrollees outside of the United States. All other products requiring shipping will be assessed a fee based on weight, distance and packaging. 

13. Payment.

We accept the following credit cards: Visa; MasterCard, Discover and American Express. We also accept debit cards from Visa and MasterCard. Our secure server encrypts all credit card information you enter. Occasionally, a request for credit card authorization fails before the card is finally authorized. If we experience difficulties in authorizing your credit card, we will notify you by phone or e-mail.

14. Governing Law.

You acknowledge and agree that this Agreement shall be governed by and construed in accordance with the laws of the State of Utah, excluding conflict of laws provisions and must be filed within one year after such claim or cause of action arose or be forever barred.

15. General.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement may be automatically assigned by Sponsor, in its sole discretion, to a third party. Section headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such Section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. The provisions of this Agreement will survive termination or expiration to the extent necessary to carry out the intentions of the parties.
